Terms & Conditions

Welcome to Silicon Website Designer ("we," "us," or "our"). By accessing or using our website at https://siliconwebsitedesigner.com , or by engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms & Conditions. These terms govern the relationship between you and Silicon Website Designer regarding all services provided, including but not limited to:

  • Creative Web Design
  • Web Development
  • Search Engine Optimization (SEO)
  • Logo Design & Branding
  • E-Commerce Solutions
  • Mobile App Development
  • Motion Graphics
  • Book Writing & Marketing
  • Custom Web Applications

Please read this agreement carefully before proceeding. If you do not agree to these terms, please do not use our services.

1. Scope of Services

All work performed by Silicon Website Designer is based on a detailed project proposal, statement of work (SOW), or service agreement signed by both parties.

The scope includes deliverables, timelines, milestones, and payment terms.

Any changes to the agreed scope must be submitted in writing and may result in adjustments to timeline, cost, or deliverables.

We reserve the right to decline any project that conflicts with our ethical standards or technical capabilities.

2. Client Responsibilities

To ensure timely delivery and success of your project, you agree to:

  • Provide accurate, complete, and timely information
  • Supply all necessary content (text, images, logos, etc.) within agreed deadlines
  • Designate a single point of contact for feedback and approvals
  • Review and respond to drafts, proofs, and revisions within 5 business days per phase
  • Ensure third-party assets (e.g., photos, trademarks) are properly licensed
  • Delays caused by the Client may extend project timelines without penalty to Silicon Website Designer.

3. Payment Terms

A. Deposit

A non-refundable deposit of 30%–50% of the total project fee is required before work begins. For large-scale or long-term projects, payments may be structured in milestones.

B. Invoicing

Invoices are issued via email at the start of each phase. Payment is due within 14 days of receipt unless otherwise specified.

C. Late Payments

Payments overdue by more than 14 days will incur a late fee of 1.5% per month (or the maximum allowed by law). Work may be paused until payment is received.

D. Final Deliverables

Final files and access will only be released upon full payment.

4. Intellectual Property Rights

A. Pre-Existing Materials

You retain ownership of all materials you provide (content, brand assets, etc.). You grant us a license to use them solely for your project.

B. Final Deliverables

Upon full payment:

  • Designs, code, websites, apps, logos, and branding elements created by Silicon Website Designer become your property.
  • You receive full commercial rights and copyrights to use the final deliverables.

C. Revisions & Unused Concepts

Only approved concepts are included in the final transfer. Unused drafts, wireframes, or alternate designs remain the intellectual property of Silicon Website Designer and may not be used without permission.

D. Open Source & Third-Party Tools

Third-party software (e.g., WordPress, Shopify, fonts, plugins) remains subject to its original licenses. We ensure compliance but are not liable for external licensing issues.

5. Revisions & Approval Process

Each project includes a set number of revision rounds as outlined in your proposal (typically 2–3 rounds per phase).

Additional revisions beyond the agreed limit will be billed at our standard hourly rate: $150/hour.

Once final approval is given in writing (email accepted), further changes are considered a new project or billable amendment.

6. Project Timeline & Delays

We commit to delivering your project within the estimated timeframe provided in your proposal.

However, delays may occur due to:

  • Late client feedback or content submission
  • Changes in project scope
  • External dependencies (e.g., third-party integrations)

We will notify you promptly of any delays and work collaboratively to adjust timelines if needed.

7. Hosting, Maintenance & Ongoing Support

Unless explicitly included in your package, ongoing hosting, maintenance, updates, and support are not part of the initial project fee.

We offer optional monthly retainer plans for:

  • Security updates and backups
  • Content updates
  • Performance monitoring
  • SEO optimization
  • Bug fixes and enhancements

These services require a separate agreement.

8. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the course of the project, including business strategies, technical data, and creative concepts.

We will not share your information with third parties except as necessary to perform the services (e.g., developers, copywriters under NDA).

9. Warranties & Limitations

A. Warranty

We warrant that all custom-developed code and design work will be free from material defects for 90 days after final delivery.

We will correct any verified bugs or errors at no additional cost during this period.

B. Exclusions

The warranty does not cover:

  • Issues caused by unauthorized modifications
  • Third-party plugins, themes, or software
  • Server environment issues
  • Damage from misuse, hacking, or negligence
  • After 90 days, support is available through a maintenance plan.

C. No Guarantees on SEO or Marketing Results

While we implement best practices for SEO, user experience, and performance, we do not guarantee specific rankings, traffic increases, sales conversions, or book sales outcomes. Results depend on market conditions, competition, and ongoing strategy.

10. Termination

Either party may terminate this agreement with 14 days’ written notice.

If terminated by the Client:

  • All work completed up to the termination date is payable.
  • Deposit is non-refundable.

If terminated by Silicon Website Designer due to non-payment or breach:

  • Full outstanding balance becomes immediately due.
  • Work will cease until resolved.

Termination does not relieve either party of obligations incurred prior to termination.

11. Limitation of Liability

To the fullest extent permitted by law, Silicon Website Designer shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits, data loss, or business interruption
Any claims arising from third-party tools, hosting, or post-delivery modifications

Our total liability is limited to the amount paid by you for the services rendered.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of California, USA.

Any disputes arising from this agreement shall first be resolved through good-faith negotiation. If unresolved, disputes will be settled by binding arbitration in San Francisco County, under the rules of the American Arbitration Association (AAA).

Class actions and jury trials are waived.

13. Amendments

We may update these Terms & Conditions from time to time. Material changes will be communicated via email or posted on our website with a revised “Last Updated” date.

Continued use of our services constitutes acceptance of the updated terms.

14. Entire Agreement

These Terms & Conditions, along with your signed proposal or service agreement, constitute the entire understanding between you and Silicon Website Designer. All prior discussions, proposals, or representations are superseded.
