These Terms & Conditions ("Terms") govern your use of the website design, development, hosting, and ongoing maintenance services ("Service") provided by Silicon Website Designer ("we," "us," "our"). By placing an order, paying the setup fee, or subscribing to our monthly plan, you ("Client," "you") agree to these Terms in full.

1. The Service

Silicon Website Designer offers a Website-as-a-Service (WaaS) solution that includes custom website design and development, hosting, domain setup, content creation, security, SSL, ongoing maintenance, and edits, all delivered under a one-time setup fee plus a recurring monthly subscription.

2. Pricing & Payment

Setup fee: A one-time fee of $99 USD is charged before onboarding begins. Work does not start until the setup fee is paid in full.
Monthly subscription: $99 USD per month, billed on the same calendar day each month starting on the date your website goes live.
Payment method: All payments are processed through our third-party payment processor. You authorize us to charge your chosen payment method automatically each billing cycle.
Failed payments: If a monthly payment fails, we will attempt to recharge the card. If payment is not received within seven (7) days, we may suspend the Service, including hosting, until the balance is settled.
Pass-through costs: Premium domain purchases (over $20/year), third-party software, paid plugins, premium fonts, stock media, or integrations with paid SaaS tools are billed at cost in addition to the monthly fee, only with your prior approval.

3. Onboarding & Client Responsibilities

To deliver your website on time, you agree to:

• Provide accurate business information, branding, and content during onboarding.
• Respond to requests for feedback, approvals, and assets within a reasonable timeframe.
• Hold the necessary rights to all logos, images, text, and other materials you submit to us.
• Use the Service only for lawful purposes consistent with these Terms.

Project timelines are estimates. Delays caused by missing content, slow feedback, or third-party providers (such as domain registrars) are outside of our control and may extend the build window.

4. Revisions & Unlimited Edits

While you are an active subscriber, you may request unlimited content edits, page additions, image swaps, copy changes, and similar updates. Reasonable fair-use applies. Edit requests are typically completed within one to three business days, depending on scope and queue volume.

"Unlimited edits" does not include:

• Building entirely new websites or rebrands beyond the original scope.
• Custom application development, integrations, or coding work outside standard CMS functionality.
• E-commerce setup, advanced booking systems, or membership systems unless agreed to separately.

5. Hosting, Security & Uptime

Your site is hosted on managed, secure infrastructure with daily backups, SSL certificates, and ongoing security monitoring. We target a 99.9% uptime standard but do not guarantee uninterrupted service. Scheduled maintenance and emergency security updates may briefly affect availability.

6. Ownership of Your Website

You own the content you provide and the visual design we deliver for your business. Upon written request after at least three (3) months of active subscription, we will provide an export of your site files so that you can host the site elsewhere. Proprietary tools, internal templates, code libraries, and managed hosting infrastructure remain the property of Silicon Website Designer.

7. Cancellation & Suspension

You may cancel your monthly subscription at any time. Cancellations take effect at the end of the current billing cycle. Once cancelled, the Service (including hosting and ongoing maintenance) ends at the close of the paid period. We will provide an export of your site if requested.

We reserve the right to suspend or terminate the Service if you violate these Terms, engage in unlawful activity, or use the website to host content that is illegal, defamatory, or harmful.

8. Acceptable Use

You agree not to use the Service or your website to:

• Violate any applicable law or regulation.
• Infringe intellectual property rights or distribute pirated material.
• Distribute malware, run phishing operations, or send unsolicited bulk email.
• Publish content that is hateful, harassing, sexually explicit involving minors, or otherwise unlawful.

9. Intellectual Property

All trademarks, logos, and brand assets you provide remain your property. The code, design system components, and infrastructure we use to build and operate websites remain our intellectual property. You receive a perpetual, non-exclusive license to use the design we deliver for your business while you remain a customer (and to use the exported static files thereafter).

10. Limitation of Liability

To the maximum extent permitted by law, Silicon Website Designer is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, or data. Our total liability for any claim related to the Service is limited to the amount you paid us in the three (3) months preceding the event giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement, except where required by law.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, the law, or our business practices. The "Last updated" date will reflect the most recent revision. Material changes will be communicated by email or through a notice on our website.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state in which Silicon Website Designer is registered, without regard to conflict-of-law principles. Any dispute will be resolved in the state and federal courts located in that jurisdiction.
